Terms & Conditions for customers holding UK accounts

ROGER LA BORDE: STANDARD TERMS AND CONDITIONS OF TRADE

1. These conditions shall constitute the entire agreement between Roger La Borde and the purchaser and shall override any terms and conditions which may be contained or referred to in any document issued by the purchaser.

2. Any additions or variations from these conditions shall be ineffective unless made in writing and signed by a person authorised by Roger La Borde.

3. Prices are as shown on Roger La Borde's current price list. Roger La Borde reserves the right to amend prices without notice at any time before delivery. Value added tax will be added at the rate current at the date of the invoice. Any queries as to price must be made by the purchaser in writing to Roger La Borde within seven days from the date of acknowledgement of order or invoice as the case may be.

4. Payment is due within 30 days of the date of invoice. Roger La Borde reserves the right to charge interest on a daily basis without deduction of tax at the rate of 2% per calendar month on any amount outstanding over 60 days. Roger La Borde also reserves the right to suspend further deliveries to a purchaser where any invoice has not been paid within 60 days.

5. No liability is accepted for loss arising out of delay in despatch or delivery.

6. A handling charge of 15% net invoice value will be made on any goods cancelled or returned without prior agreement of Roger La Borde.

7. All deliveries of goods as specified in Roger La Borde's delivery note will be deemed to have been received by the purchaser unless written notification of non-delivery is received by the Company within seven days of delivery date.

8. Goods will be deemed to have been accepted by the purchaser unless written notification of any damage with details of the damage alleged is received within seven days from the delivery date. The packaging and damaged goods should be retained for examination by Roger La Borde. In the event of such damage Roger La Borde may at its option replace free of charge the damaged goods but shall be under no further obligation whatsoever.

9. Roger La Borde shall not be liable for any loss or injury or damage whatsoever whether direct or indirect arising out of any defect in the goods sold whether or not such loss injury or damage is caused by delay in delivery or any negligent act or omission or wilful default of Roger La Borde.

10. Orders are subject to cancellation by Roger La Borde without notice in the event of it being unable to secure labour, material or supplies, or as a result of any act of god, war, strike, lock out or labour disputes, fire, flood, drought or any other cause whatsoever beyond Roger La Borde's control which renders the due performance in this contract impossible.

11. If Roger La Borde reasonably believes the purchaser to be insolvent or if the purchaser's credit limit is exceeded it may suspend deliveries until evidence is produced to the contrary or fresh terms of payment are agreed.

12. Ownership of and property in the goods shall remain vested in Roger La Borde until the purchaser has paid all monies owed to Roger La Borde under this or any other contract. Risk in the goods shall pass to the purchaser on delivery or collection. The purchaser shall be entitled to sell the goods for its own account in the normal course of its business provided that the proceeds of sale of the goods to the extent of any monies due by the purchaser to Roger La Borde are held by the purchaser in trust for Roger La Borde until payment of all monies have been made in full to Roger La Borde.

13. The purchaser may not use the goods or designs for the purpose of manufacturing other goods without the written consent of Roger la Borde.

14. All Roger La Borde orders and contracts shall in all respects be construed and operated under English Law.
